The Firm’s lawyers have significant experience providing advisory work for corporate and trust boards, primarily those of tax exempt organizations. The clients with whom we have worked include 501(c)(3) charitable organizations, 501(c)(6) trade associations, other types of section 501(c) organizations, including a multi-billion dollar investment trust established by Congress and overseen by Congress and the Executive Branch, and a start-up for-profit company.
We bring to our clients a valuable combination of relevant legal knowledge, experience, and sound counseling judgment. Our lawyers assist clients with entity formation, including the development of governance structures and the drafting of governance documents such as bylaws and conflicts, confidentiality, proxy, and other policies. We also guide clients through the process of applying for tax exempt status from the Internal Revenue Service. Once entities are formed, we counsel clients on best governance practices, resolution of board disputes, compliance with Federal and State laws, including the laws governing tax exempt organizations, and compliance with bylaws and other internal governing documents and policies. For clients who interact with the Federal legislative and executive branches, we counsel them on compliance with ethics, lobbying disclosure, and other relevant laws and regulations.
